Johnson & Johnson asserts that bankruptcy is the only method to settle both present and future lawsuits involving talc conclusively. Going back to hundreds of years of American history, the company argues that bankruptcy benefits everyone by dispersing settlements more fairly and more efficiently than trial courts where litigants are awarded significant awards while others receive nothing.
The gist in this 3rd Circuit decision was this is not a case – an enterprise that is profitable, forming an entity to assume the legal risk and declare bankruptcy, which is what Congress had in mind when it came to drafting the Bankruptcy Code. But it also said it was not financially difficulty due to the fact that J&J promises unlimited funding.
Thus, J&J decided to go with the funding unlimited part of the deal and didn’t promise to provide unlimited funding for lawsuits. The company claims that modified financing arrangements with its subsidiary addresses the concerns of the appellate court, while offering claim payment funds. Hyperbole did not go unnoticed by the victims’ lawyers, who call this the biggest “fraudulent deal that has occurred in United States history.”
